User Agreement
VENDOR, EXPERT & SERVICE PROVIDER AGREEMENT
This Vendor & Service Provider Agreement ("Agreement") is made and entered into on this ___ day of ________, 20 ("Effective Date"), by and between:
SanSra IBS India Pvt. Ltd., a company incorporated under the Companies Act, India, having its registered office at Vijayawada, operating the online marketplace platform www.globalhbc.com (hereinafter referred to as "Platform" or "Global HBC"),

(hereinafter referred to as the "Vendor" or "Service Provider").
Collectively referred to as the "Parties".
1. PURPOSE
Global HBC provides an online marketplace platform where:
Vendors can list and sell products.
Professionals, experts, and service providers (including but not limited to advocates, doctors, plumbers, electricians, etc.) can create business profiles and offer services.
The Platform acts only as an intermediary facilitating transaction between buyers and sellers.
2. REGISTRATION & PROFILE
2.1 The Vendor/Service Provider shall create a profile on the Platform with genuine, accurate and complete details.
2.2 The Vendor may create catalogues consisting of:
Products with Maximum Retail Price (MRP), or
Services with applicable rates, fees, or charges.
2.3 The Vendor is solely responsible for maintaining the accuracy of listings.
3. PLATFORM ROLE
3.1 Global HBC acts only as a facilitator between buyers and sellers.
3.2 The Platform does not:
Own the products or services listed.
Guarantee quality, quantity, or performance.
4. PLATFORM FEES
4.1 The Vendor/Service Provider agrees to pay 20% (twenty percent) of every successful transaction as platform fees to Global HBC.
4.2 Platform fees shall be deducted at the time of settlement.
4.3 Applicable GST and other statutory charges shall also be deducted, if applicable.
5. PAYMENT & SETTLEMENT
5.1 Payment shall be collected from the customer through the Platform.
5.2 A waiting period of 7 (seven) days from the date of delivery/service completion shall apply.
5.3 After the waiting period, Global HBC shall release payment to the Vendor after deducting:
Platform Fees (20%)
GST (if applicable)
Any other applicable charges
6. RETURNS & DELIVERY
6.1 In case of product return by the customer:
The Vendor shall bear two-way delivery charges.
6.2 The Vendor shall manage logistics and ensure proper delivery of products/services.
7. VENDOR RESPONSIBILITIES
The Vendor/Service Provider shall:
7.1 Deliver products/services as promised in the catalogue.
7.2 Ensure quality, quantity, and compliance with applicable laws.
7.3 Be solely responsible for:
Product defects
Service quality
Legal compliance
Customer disputes
Applicable licenses
7.4 Accept all legal consequences arising from their offerings.
8. PRICING COMMITMENT
8.1 Once a customer completes payment:
The Vendor shall NOT increase the price.
The Vendor shall NOT refuse service or delivery.
8.2 The Vendor must honour the agreed price for that transaction under all circumstances.
9. LIABILITY
9.1 Global HBC shall not be liable for:
Product quality issues
Service deficiencies
Vendor misconduct
9.2 The Vendor agrees to indemnify and hold harmless Global HBC from any claims, damages, or legal actions.
10. TERMINATION
10.1 Global HBC reserves the right to suspend or terminate Vendor accounts in case of:
Policy violations
Fraudulent activities
Customer complaints
10.2 The Vendor may terminate participation by providing written notice.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of India.
12. DISPUTE RESOLUTION
Any disputes arising out of this Agreement shall be subject to the jurisdiction of courts located in Vijayawada.
13. ACCEPTANCE
By registering on the Platform, the Vendor/Service Provider agrees to all the terms and conditions stated in this Agreement.
